1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Auction Buddy website and related services ("Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Material changes & notice. We may update these Terms from time to time. For material changes, we will provide at least 7 days' notice (email and/or in-product) before the changes take effect, and update the "Last updated" date above.

2. Who We Are; Description of the Services

The Services are provided by BE INNOVATIONS PTY LTD (trading as Auction Buddy) (ABN 71 653 627 171, ACN 653 627 171) ("Auction Buddy", "we", "us").

Auction Buddy provides property information tools to help users plan and evaluate real estate purchases, including (for example) property insights, comparison views, calculators, and real-time price tracking at auctions. Features may change from time to time.

Our handling of personal information is described in our Privacy Policy.

3. General Information; No Agency or Credit Assistance

General information only. Outputs, insights and calculators are indicative and provided for education and planning. They do not consider your personal objectives, financial situation or needs and are not financial, legal or taxation advice.

No agency or bidding. We are not your agent and do not bid, negotiate or make representations on your behalf at any auction.

No credit assistance. We do not provide credit assistance within the meaning of the National Consumer Credit Protection Act 2009 (Cth), and we do not recommend or arrange specific credit products.

4. Eligibility and Accounts

• You must be 18+ and have capacity to enter into these Terms.
• You are responsible for your account credentials and all activity under your account.

5. User Content, Acceptable Use and Feedback

User Content. You may upload or input content (for example, notes, ratings, images) ("User Content"). You retain your ownership. You grant us a non-exclusive, worldwide, royalty-free licence to use, host, reproduce and display User Content solely to provide and improve the Services. You also grant us the right to use de-identified information derived from your use of the Services to create aggregated insights, as described in Section 8, provided such insights do not reasonably identify you.

Acceptable Use — You must not:

• Upload unlawful content, or content that infringes others' rights or privacy.
• Upload personal information about other individuals without their consent.
• Scrape, harvest, or attempt to access the Services or data without authorisation.
• Interfere with auctions, the Services, or underlying infrastructure.
• Bypass or attempt to bypass usage limits or security controls.

We may remove content or suspend/terminate accounts (including free accounts) for suspected breaches, harmful use, fraud or unlawful activity.

Feedback licence. You grant us a perpetual, irrevocable, worldwide, royalty-free licence to use ideas, suggestions and feedback you provide for any purpose.

6. Early Access and Included Benefits

Definition of "lifetime" (benefit eligibility). "Lifetime" means for as long as (a) your account remains not inactive for more than 90 consecutive days (no sign-in or in-product activity), and (b) the Auction Buddy consumer service continues to operate. This definition concerns benefit eligibility only and does not close your account.

Waitlist inactivity after launch. A user who has signed up for the waitlist but has not signed into the product within 30 days after official launch is considered inactive for the purpose of benefit eligibility and marketing segmentation, but may still receive marketing unless they unsubscribe.

Account closure. Accounts are not closed unless you request it. See Privacy Policy for data handling and deletion timelines.

Included benefits. First 250 eligible accounts may receive ongoing access to certain premium features designated in-product as "included for Early Access".

Fair use and quotas. Included benefits may be subject to fair-use limits or credit quotas. Usage beyond any quota may attract overage charges as disclosed in-product.

Partner services excluded. Third-party or partner offerings (e.g., inspection reports, conveyancing, finance, valuations) and their fees are not included and are subject to the partner's terms.

Changes. We may modify included benefits, limits or pricing on 7 days' notice by email and in-product notice. Changes are not retroactive and do not remove benefits already consumed.

7. Pricing, Billing and Refunds

• Prices are in AUD (inclusive of applicable taxes unless stated otherwise).
• Subscriptions renew until cancelled. You can cancel at any time, effective at the end of the current billing period.
• No refunds for partial periods, except as required by law.
• We may change pricing on 7 days' notice.

8. Third-Party Services, Data Sources & Partners

The Services may rely on third-party platforms and data sources (for example, hosting/CDN, databases, analytics, AI processing, and public or licensed property data). We are not responsible for interruptions or errors caused by third parties or data sources.

Partner sharing (consent). Where we facilitate a connection to a partner at your request, we will only share the minimum necessary information with your consent, and the partner will handle that information under their own privacy policy.

AI processing. We keep this broad and may use third-party AI providers for certain features; we minimise identifiers in inputs where practical.

Analytics & research. We use analytics for our own research and product improvement. We do not share your personal information with third parties except where you request a partner connection as above. We may use and share anonymised and aggregated information internally or with partners (For example: "20% of our user base in Sydney inspects 5 properties on average before attending an auction") where it does not reasonably identify you.

Aggregated Insights and Derived Data. We may create, use, publish, license or sell de-identified, aggregated statistics or insights derived from Service usage data and/or user inputs ("Aggregated Insights"), provided they do not reasonably identify any individual. We take reasonable steps to de-identify data and require recipients not to attempt re-identification or combine the insights with other data to identify a person.

No sale of personal information. We do not sell your personal information. Any commercialisation relates only to anonymised and/or aggregated information.

9. Service Changes and Availability

We may update, suspend or discontinue features from time to time. We use reasonable efforts to provide notice of material changes. We are not liable for delay or failure caused by events beyond our reasonable control (including outages of third-party providers, network failures, or regulatory actions).

10. Intellectual Property

The Services, including software, designs, and content, are owned by Auction Buddy or our licensors and are protected by intellectual property laws. You must not copy, modify, reverse engineer or create derivative works except as permitted by law.

11. Disclaimers and the Australian Consumer Law (ACL)

While we use reasonable efforts to provide accurate and timely information, the Services and outputs are provided "as is" and "as available". Property markets change and data may be delayed or incomplete.

Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any right or remedy you may have under the Australian Consumer Law (ACL) that cannot be excluded. Where our liability cannot be excluded but may be limited, our liability to you for failure to comply with a statutory guarantee is limited to resupplying the services or paying the cost of having the services resupplied.

12. Limitation of Liability and Indemnity

Subject to the ACL paragraph above and to the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Services is limited to AUD $100. We are not liable for indirect, incidental or consequential loss, loss of profits, goodwill or data.

You indemnify us against losses arising from your breach of these Terms or infringement of third-party rights, except to the extent caused by our breach of law.

13. Suspension, Termination & Data Handling

We may suspend or terminate your access (including free accounts) for material breach, unlawful activity, fraud, harmful use, non-payment (if applicable) or attempts to circumvent limits/security. We may provide notice where reasonable, but may act immediately if required for safety, security or legal reasons.

Upon account closure or termination, your personal information will be handled in accordance with our Privacy Policy, including our standard deletion timelines.

14. Changes to these Terms

As above under Material changes & notice, we provide 7 days' notice for material changes and update the "Last updated" date.

15. Governing Law and Disputes

These Terms are governed by the laws of Victoria, Australia. You and we submit to the exclusive jurisdiction of the courts of Victoria.

17. Miscellaneous

• Severability: If a term is invalid, the rest remain in effect.
• No waiver: Failure to enforce is not a waiver.
• Assignment: You may not assign without our consent; we may assign in connection with a merger, acquisition or reorganisation.
